Welcome to Mingarete!

This User Service Agreement ("Agreement") is a legal contract between you ("you" or "User") and Shenzhen Mingmeide Technology Co., Ltd. ("Mingarete," "we," "us," or "our"), governing your access to and use of the Mingarete platform, including our website (www.mingarete.cn) (www.mingarete.cn), mobile applications, and related services (collectively, the "Platform" or "Services"). By accessing or using the Platform, you agree to be bound by this Agreement, including any referenced policies, rules, or updates.

If you do not agree to these terms, please do not access or use the Platform. We may update this Agreement from time to time. Continued use after changes constitutes acceptance. Check back regularly for updates.

1. Eligibility and Acceptance

You must be at least 18 years old or have the legal capacity to enter into contracts under applicable law to use the Services. If you are under 18, you must review this Agreement with a parent or guardian, and they must consent on your behalf. We may require proof of age or guardian consent.By registering, logging in, or using the Services, you confirm you have read, understood, and agree to this Agreement, our Privacy Policy, and any other referenced documents. You also agree to comply with all applicable laws, including those of the People's Republic of China (PRC).

2. Definitions

  • User/You: Any individual who registers an account and is approved to access courses on the Platform.
  • Platform/Services: The online education platform operated by Mingarete, providing digital educational content via web and mobile apps.
  • Courses: Educational materials (videos, audio, text, images, links) available on the Platform, including free and paid options.     - Free Courses: Accessible without charge.     - Paid Courses: Require payment for access.

3. Account Registration and Use

To access certain features, like viewing courses, you must create and log in to an account. Your account is your responsibility:

  • Provide accurate, complete information during registration, including for real-name authentication as required by PRC law.
  • Safeguard your username and password; you are liable for all activity under your account.
  • Do not share, transfer, sell, or lend your account.
  • Notify us immediately of any unauthorized use.
  • Comply with PRC principles: respect laws, national interests, public order, and information authenticity.
  • We may review, reject, or terminate accounts with false, illegal, or inappropriate information.
  • Prohibited: Using accounts for profit, cheating, harassing others, or unauthorized transactions.
  • For paid services, use only official payment channels (e.g., Alipay, WeChat Pay). No refunds for courses; complete studies within validity periods.
  • Accounts belong to Mingarete; you have a limited license to use them.
  • Limits: Up to 5 devices per account, one simultaneous login. Violations may lead to suspension.
  • Do not modify, copy, distribute, or create derivatives of our content without permission.

4. Data Ownership and Use

  • We own all account data, logs, and records related to your use, subject to our Privacy Policy.
  • You consent to us storing, transferring, or deleting non-personal data to manage server resources, without notice.
  • We may disclose data to authorities or rights holders if required by law or for infringement claims.

5. Prohibited Conduct

You agree not to use the Platform to create, upload, or share content that violates PRC laws or this Agreement, including:

  • Opposing PRC constitutional principles.
  • Endangering national security, leaking state secrets, or undermining unity.
  • Damaging state honor or interests.
  • Inciting ethnic hatred or discrimination.
  • Undermining religious policies or promoting cults/superstitions.
  • Spreading rumors or disrupting social order/stability.
  • Promoting obscenity, pornography, gambling, violence, terrorism, or crime.
  • Insulting/slandering others or infringing rights.
  • Inciting illegal assemblies or operating under illegal organizations.
  • Other illegal content.

Additionally, avoid:

  • Spam, harassment, or advertising without permission.
  • Infringing privacy, IP, or trade secrets.
  • Misleading/deceiving others or impersonating staff.
  • Modifying our content or infringing our IP.
  • Using cheats, plugins, or bugs to disrupt operations.
  • Hacking, overloading servers, or illegal activities.
  • Selling/transferring paid content to third parties.

Violations may result in:

  • Content removal.
  • Account suspension/termination.
  • Forfeiture of fees (no refunds).
  • Legal action and compensation for losses.

We may take these actions without notice if we determine a violation.

6. Payments and Fees

  • Paid Services (e.g., courses) are "pay-first, use-later."
  • Use approved methods; we are not liable for third-party payment issues.
  • Review details before purchase; no refunds or exchanges for virtual goods.
  • Packages grant access to all sessions in a course during validity.
  • We may adjust prices or terms; changes apply prospectively.
  • After-sales support per our policy.

7. Privacy

We handle your data per our Privacy Policy. For minors, review our Minor Protection Rules with a guardian. We protect personal info but may use non-personal data to improve services.

8. Disclaimers and Limitations

  • Services are "as is" without warranties of merchantability, fitness, accuracy, or uninterrupted access.
  • We are not liable for interruptions due to maintenance, networks, hacks, viruses, or force majeure (e.g., natural disasters, government actions, wars).
  • No liability for third-party links or content.
  • Limitation: Our total liability is capped at fees paid by you in the last 12 months.
  • We may suspend/terminate Services anytime for any reason, without liability.
  • You indemnify us against claims from your violations.

Force majeure events excuse performance; if over 60 days, either party may terminate affected services.

9. Intellectual Property

We or our licensors own all Platform content (text, software, media, etc.). You have a limited, non-transferable license for personal use. No unauthorized copying, distribution, or derivatives.You grant us a license to display your user-generated content (e.g., comments) for promotional purposes.

10. Termination

We may terminate your access anytime. Upon termination, cease use; no refunds.

11. Governing Law and Dispute Resolution

This Agreement is governed by PRC laws (excluding conflicts). In the event of any conflict between this English version and the Chinese version of this Agreement, the Chinese version shall take precedence. Disputes shall be resolved through negotiation; if unresolved, submit to the People's Court in Nanshan District, Shenzhen.

12. Miscellaneous

  • Notifications via Platform, email, or SMS.
  • We may advertise on the Platform; you verify ad info independently.
  • Software updates required for continued access.
  • Waivers must be written; no implied waivers.
  • Severability: Invalid provisions don't affect others.
